Working with previous dates in Excel

I need to look for the previous date out of the most current date on my report (Last Enroll Date - 5/23/2013).. See my formula on L2.. It should be 4/25/2013 but my formula is coming up with 5/17/2013. I need to count the previous to last date out of the Active Clients only. And then in another formula, i need to count how many of those dates there are (which in this case, there would be 2)Book3.xlsx

So basically I'm working on 2 formulas.
