Updating Data in Spreadsheet by utilizing a separate Spreadsheet

The title gave me the most trouble

I have an outdated spreadsheet with 218 rows or parts numbers, I need to transfer the new 2011 pricing from the Master spreadsheet which has 4,327 rows or part numbers onto the outdated spreadsheet (218 part numbers). How does one transfer the 218 values from a list of 4,327?

    example:

Form Code - Part Number - Description - Weight - US List Price

Thank you Alan, I am having a few issues with the formula. I created duplicates of the 2 spreadsheets, and placed them side by side tabs in the same workbook. Would that create an issue?

As far I can tell, our formulas are the same. I'm getting the error of #N/A

Did you check to ensure that there are no leading or trailing spaces in either of the spreadsheets? This may be a cause as Excel cannot distinguish those differences. Run a =Trim on all cells that you are trying to match just to make sure.
