I have tried a variety of if & and type statements but I cannot get this 2 conditional format to work. Please review attached spreadsheet. Hope you can guide me to a solution.

You need to reverse the conditions so that the first one that is true is applied...

Thank you! Worked perfect. I would not have thought to do it in reverse order.
Conditional formatting in 2003 and before work like that... the conditions are looked at in consecutive order and as soon as one is found to be TRUE, it applies that condition and stops... so you have to think it out before you apply multiple conditions that could all be TRUE....
