Well assuming you both have access to the same network drive you could do it that way, that way if one of you is updating it, the other cannot update.
for 2002 at least:
Click 'Tools' > 'Share Workbook' > Editing' tab > put a check in the box next to the sharing description.
As long as you're sharing a networked drive, this allows both to make changes and 'merge' the combined changes. Still some potential to over-ride one another's changes though....

Dave is correct, we do not have a shared network. I just saw that Google is introducing an Excel compatible spreadsheet web based system next tuesday, maybe that will help.
Ahh, then this isnt really so much an Excel question than a networking question.
Probably the easiest way possible would be for one of you to store it locally on their own C: drive and the other to look around for remote access software to allow you to essentially log into their computer from afar. The idea is to make a virtual private network from one computer to another but there are many variables (Ex: both have static IP addresses? Firewalls adjusted to allow VPN passthrough on specific ports? Validate by MAC address and/or password protected?)
A decent software suite should help take care of the techier side so you don't have to deal with the questions above. Unfortunately, I do not have need for such a thing so I cannot recommend any.
