Count() and CountIf() results don't make sense.

I hope someone can explain these results.

I have a column that contains only numbers below Row 25.

HdgRow = $A$25
There is nothing below $A$253
There are no blank cells or 0s in $A$27:$A$253

I can see that #3 + #4 + #5 = #1, which is what I expected. But I also expected #3 + #4 = #2.

What does the results of #2 (300) mean? What are the other 73 values? Why doesn't it return the same as #1?

I am guessing that there are some cells below row 253 that have some "text" values (maybe spaces!!) that don't get counted when using COUNT but get counted using COUNTIF... if that is not the case could you post your workbook to see exactly what is happening?

after trying countif it seems to count blank cells as well in 2010
try countifs instead:
=COUNTIFS(OFFSET(HdgRow,2,0,ROWS($A:$A)-ROW(HdgRow)-1,1),"<>0",OFFSET(HdgRow,2,0,ROWS($A:$A)-ROW(HdgRow)-1,1),"<>")

I can't replicate your problem with 2003.
Can you post your workbook?
