    Countif Problem

    Hello, Using excel 2007

I have an attached worksheet that has 2 formulas looking for matching numbers. What I want if the first formula finds a matching # then I don't want the second formula to find a match on that same number.

Attached is a sample worksheet, showing the data, formulas and what I would like to see happen with a new formula that I need help constructing.
    Thanks for you help.
