I would suggest something along the lines of the following regular formula in cells A3 and down:
Formula: copy to clipboard 
=IF(C3<>"",C3,IF(D3<>"",A2,""))

If this doesn't do what you want I suggest uploading a sample spreadsheet utilizing the "HOW TO ATTACH YOUR SAMPLE WORKBOOK" banner at the top of the page.
