    Conditional Format Between Two Cells

    I have a total in cell C37 and a total in E37. I've been trying to apply conditional formatting to these two cells that will fill the cell with the largest value and can't seem to come up with anything!
    Any ideas?

    CF formula in cell C37: =C37>E38
    CF formula in cell E38: =E38>C37
